Terms of Service

The rules of engagement for using the Treadforge platform.

Acceptance of Terms

Treadforge ("Treadforge", "we", "us", or "our") provides tire shop management software and related services through the Treadforge platform, including any associated websites, applications, and integrated services (collectively, the "Service").

These Terms of Service ("Terms") govern your access to and use of the Service and create a legally binding agreement between you ("you", "your", or "Subscriber") and Treadforge.

By accessing or using the Service, or otherwise indicating your acceptance of these Terms, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the Service.

The Service

Subject to these Terms, Treadforge grants Subscriber a limited, non-exclusive, non-transferable right to access and use the Service during the applicable subscription term solely for Subscriber's internal business purposes.

Subscriber is responsible for all activity conducted under its account, including activity by employees, contractors, or other authorized users.

Treadforge may modify, improve, or update the Service from time to time. This may include adding or removing features, modifying integrations with third-party services, or updating the technical architecture of the platform.

We may also discontinue features or components of the Service at our discretion.

The Service is intended for users 18 years of age or older.

Account Registration

To access certain functionality of the Service, you must create an account and provide accurate and complete information.

You agree to:

Accounts may not be transferred or assigned without Treadforge's prior written consent.

  • Promptly notify Treadforge of unauthorized use of your account

Subscriptions and Payment

Subscriber agrees to pay all applicable fees for the Service.

Fees may be based on factors such as:

All fees are due according to the billing terms presented during subscription purchase or renewal.

Treadforge may modify pricing with reasonable notice. Updated pricing will apply at the start of the next billing period.

Payments may be processed through credit card or other supported payment methods.

All payments are non-refundable except where required by law.

Subscriber is responsible for all applicable taxes related to the Service.

Failure to make timely payments may result in suspension or termination of access to the Service.

  • Subscription plan selected (Starter, Pro, or Enterprise)

  • Number of shop locations
  • Enabled features or modules
  • Other applicable usage metrics

Subscription Term and Renewal

Subscriptions are offered on a monthly basis unless otherwise agreed upon.

Unless otherwise specified:

Subscribers may cancel renewal at any time. There are no long-term contracts.

Cancellation will take effect at the end of the current subscription period.

  • Subscriptions automatically renew
  • Renewal occurs at the end of the current term

Communication Features

The Service may include communication features such as messaging, notifications, or other interactions between Subscriber and its customers or users.

Subscriber is responsible for ensuring compliance with applicable laws including but not limited to:

Treadforge acts solely as a technology provider and does not control the content of communications sent by Subscribers.

  • Telephone Consumer Protection Act (TCPA)
  • CAN-SPAM Act
  • Telemarketing and consumer communication regulations

Acceptable Use

Subscribers and their authorized users must comply with all applicable laws when using the Service.

Users may not:

Treadforge may suspend accounts that violate these rules.

  • Violate any law or regulation
  • Infringe intellectual property rights
  • Attempt to gain unauthorized access to the Service
  • Introduce malware or harmful code
  • Disrupt or interfere with the Service or its infrastructure
  • Reverse engineer or attempt to extract source code

Data Ownership

Subscriber retains ownership of all data submitted to the Service ("Subscriber Data"), including but not limited to work orders, customer records, inventory data, invoices, and employee information.

Subscriber grants Treadforge a limited license to use Subscriber Data solely to:

Treadforge may create anonymized and aggregated data derived from Subscriber Data ("Resultant Data") for analytics, product improvement, and operational purposes.

Treadforge will not publicly disclose Subscriber Data except as required to operate the Service or as required by law.

  • Comply with legal obligations

Data Security

Treadforge uses commercially reasonable measures designed to protect the security of the Service and Subscriber Data.

However, no system is completely secure, and Treadforge does not guarantee that the Service will be free from unauthorized access or data breaches.

Subscribers are responsible for maintaining the security of their own systems and user credentials.

Artificial Intelligence Features

Certain features of the Service may use artificial intelligence or machine learning technologies ("AI Features").

AI Features may include functionality such as:

Subscriber understands that AI output may be imperfect or inaccurate.

Subscribers must review AI-generated output before relying on it in business operations.

Subscriber remains responsible for ensuring that use of AI-generated content complies with applicable laws.

Treadforge may use anonymized data to improve AI systems used within the Service.

  • Summarization of notes or communications
  • Drafting assistance for messages or estimates
  • Categorization or tagging of data
  • Workflow suggestions

Confidentiality

Each party agrees to protect the other's confidential information and use it only for purposes related to the Service.

Confidential information does not include information that:

  • Is publicly available
  • Was already known to the recipient
  • Was independently developed
  • Was lawfully obtained from another source

Intellectual Property

The Service and all related software, content, and technology are owned by Treadforge or its licensors.

These materials are protected by intellectual property laws.

Subscribers may not:

Except for the limited license granted under these Terms, no intellectual property rights are transferred.

  • Copy or redistribute the Service
  • Create derivative works
  • Reverse engineer the platform
  • Resell access to the Service

Third-Party Services

The Service may integrate with third-party services.

Use of those services may be governed by separate terms provided by the third party.

Treadforge is not responsible for third-party services or their availability.

Text Messaging (SMS) Terms

The Service may enable Subscribers to send and receive SMS and MMS messages with their customers.

By providing a phone number to a Subscriber using Treadforge, end users consent to receive conversational and transactional text messages related to service requests and ongoing service communications, including but not limited to:

Message frequency varies depending on the nature of the service interaction.

Message and data rates may apply.

Consent to receive SMS messages is not a condition of purchase.

End users may opt out of receiving text messages at any time by replying "STOP". For assistance, reply "HELP" or contact the sending business directly.

Treadforge acts as a technology platform provider and does not control the content or timing of messages sent by Subscribers. Subscribers are responsible for obtaining proper consent from their customers in accordance with applicable laws.

Treadforge does not use SMS messaging for marketing purposes and does not share end-user phone numbers or consent data for third-party marketing.

  • Vehicle ready notifications
  • Service updates
  • Invoices and service-related links

Disclaimers

The Service is provided "as is" and "as available".

Treadforge disclaims all warranties including:

Treadforge does not guarantee uninterrupted or error-free operation of the Service.

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

Limitation of Liability

To the maximum extent permitted by law:

Treadforge will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data.

Treadforge's total liability for any claim related to the Service will not exceed the fees paid by Subscriber during the twelve months preceding the claim.

Indemnification

Subscriber agrees to indemnify and hold harmless Treadforge and its affiliates from claims arising out of:

  • Subscriber's use of the Service
  • Violation of these Terms
  • Violation of applicable law
  • Subscriber Data

Termination

Treadforge may suspend or terminate access to the Service if:

Upon termination:

  • Subscriber breaches these Terms
  • Payment obligations are not met
  • Use of the Service poses security or legal risks
  • Access to the Service ends
  • Outstanding fees become due
  • Subscribers should export their data before termination of the Service

Governing Law

These Terms are governed by the laws of the State of Arizona.

Any disputes will be resolved in state or federal courts located in Maricopa County, Arizona.

Treadforge may elect to resolve disputes through binding arbitration under the rules of the American Arbitration Association.

General Provisions

These Terms represent the entire agreement between the parties regarding the Service.

If any provision is found unenforceable, the remaining provisions will remain in effect.

Treadforge may update these Terms from time to time. Updated Terms will take effect when posted.

Continued use of the Service constitutes acceptance of the updated Terms.
